Preamble

These Terms and Conditions (“Terms”, “Agreement”) constitute a legally binding agreement between You (“User”, “You”, “Your”, “Customer”, “Subscriber”) and Tandav Gaming Private Limited, a company incorporated under the Companies Act, 2013, having its registered office at Upper Basement Level, Link Corner, 33rd and 24th Road, TPS III, Off Linking Road, Bandra West, Mumbai, Mumbai Suburban, Maharashtra, 400050 (“Billvoice”, “Company”, “We”, “Us”, “Our”), governing Your access to and use of the Billvoice platform, website located at www.billvoice.in (“Website”), mobile applications, application programming interfaces (APIs), and all related services, features, content, and functionality (collectively, the “Platform” or “Services”).

By accessing, browsing, or using the Platform, or by clicking “I Agree”, “Accept”, or similar affirmation, or by creating an account, You acknowledge that You have read, understood, and agree to be bound by these Terms, our Privacy Policy, and all applicable laws and regulations. If You do not agree to these Terms, You must not access or use the Platform.

These Terms shall be read in conjunction with the Privacy Policy, Acceptable Use Policy, Service Level Agreement (where applicable), and any other policies or guidelines published on the Platform from time to time, which are incorporated herein by reference.

1. Definitions and Interpretation

1.1 Definitions

In these Terms, unless the context otherwise requires, the following expressions shall have the meanings assigned to them:

  • “Account” means the user account created by You on the Platform to access and use the Services;
  • “Applicable Law” means all applicable statutes, enactments, acts of legislature, laws, ordinances, rules, bye-laws, regulations, notifications, guidelines, policies, directions, directives and orders of any governmental authority, statutory authority, tribunal, board, court or recognized stock exchange in India, including but not limited to the Information Technology Act, 2000, the Digital Personal Data Protection Act, 2023, the Central Goods and Services Tax Act, 2017, the Integrated Goods and Services Tax Act, 2017, the respective State Goods and Services Tax Acts, the Income Tax Act, 1961, the Consumer Protection Act, 2019, the Indian Contract Act, 1872, the Companies Act, 2013, and rules and regulations made thereunder;
  • “Authorized User” means any individual who is authorized by You to use the Services through Your Account, including Your employees, consultants, contractors, and agents;
  • “Business Day” means any day other than a Saturday, Sunday, or public holiday in India;
  • “Confidential Information” means all information disclosed by one party to the other, whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure;
  • “Customer Data” means all electronic data, information, or content submitted, uploaded, or otherwise provided by You or Your Authorized Users to the Platform in connection with Your use of the Services;
  • “Documentation” means the user guides, online help, release notes, training materials, and other documentation provided or made available by Billvoice to You regarding the use of the Services;
  • “Effective Date” means the date on which You first access or use the Platform or accept these Terms, whichever is earlier;
  • “Fees” means the subscription fees, usage fees, and any other charges payable by You to Billvoice for the Services as set forth in the applicable Subscription Plan or Order Form;
  • “Force Majeure Event” means any event beyond the reasonable control of a party, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials;
  • “GST” means Goods and Services Tax levied under the Central Goods and Services Tax Act, 2017, the Integrated Goods and Services Tax Act, 2017, and the respective State Goods and Services Tax Acts, as applicable;
  • “GSTIN” means Goods and Services Tax Identification Number as defined under the GST Laws;
  • “Intellectual Property Rights” means all patents, copyrights, trademarks, trade secrets, know-how, moral rights, and all other intellectual property rights, whether registered or unregistered, and all applications and rights to apply for registration of any of the foregoing;
  • “Invoice” means a tax invoice, bill of supply, or any other document generated through the Platform for goods sold or services rendered;
  • “Neo-Banking Services” means the banking and financial services offered through the Platform in partnership with third-party banking and payment service providers, including but not limited to RazorpayX, Cashfree, and other licensed entities;
  • “Order Form” means an ordering document, online subscription page, or other agreement entered into between You and Billvoice that references these Terms and specifies the Services to be provided;
  • “Personal Data” has the meaning ascribed to it under the Digital Personal Data Protection Act, 2023;
  • “Platform” means the Billvoice software-as-a-service platform, including the Website, mobile applications, APIs, and all related services, features, and functionality;
  • “Processing” means any operation or set of operations performed on Personal Data, including collection, recording, organization, structuring, storage, adaptation, retrieval, consultation, use, disclosure, dissemination, restriction, erasure, or destruction;
  • “Services” means the billing, invoicing, payment tracking, compliance management, AI-powered assistance, neo-banking integration, and other services provided through the Platform as described in the Documentation and applicable Subscription Plan;
  • “Subscription Plan” means the pricing tier selected by You (Operations, Automation, Compliance, or Strategy), as described on the Website or in the applicable Order Form;
  • “Subscription Term” means the period during which You are authorized to access and use the Services, as specified in Your Subscription Plan or Order Form;
  • “TDS” means Tax Deducted at Source under the Income Tax Act, 1961;
  • “Third-Party Services” means any third-party products, services, applications, or integrations that interoperate with the Services;
  • “User Content” means any content, materials, data, or information that You or Your Authorized Users submit, post, upload, or otherwise make available through the Platform;

1.2 Interpretation

In these Terms, unless the context otherwise requires:

  • Words importing the singular include the plural and vice versa;
  • Words importing any gender include all genders;
  • References to “include” or “including” shall be construed without limitation;
  • References to any statute or statutory provision include any modification, amendment, or re-enactment thereof;
  • Headings are for convenience only and shall not affect the interpretation of these Terms;
  • References to “days” mean calendar days unless otherwise specified;
  • References to “INR” or “₹” mean Indian Rupees.

2. Eligibility and Account Registration

2.1 Eligibility

To use the Platform, You represent and warrant that:

  1. You are at least eighteen (18) years of age or have attained the age of majority in Your jurisdiction, whichever is higher;
  2. If You are registering on behalf of a business entity, You have the legal authority to bind such entity to these Terms;
  3. You are not barred from using the Platform under Applicable Law;
  4. You have all necessary licenses, permits, and registrations required to conduct Your business, including but not limited to GST registration where applicable;
  5. The information You provide during registration is accurate, current, and complete;
  6. You will maintain the accuracy of such information throughout the Subscription Term.

2.2 Account Registration

To access certain features of the Platform, You must create an Account by providing accurate and complete information as prompted by the registration process. You agree to:

  1. Provide true, accurate, current, and complete information about Yourself and Your business;
  2. Maintain and promptly update such information to keep it accurate and complete;
  3. Maintain the security and confidentiality of Your login credentials;
  4. Accept responsibility for all activities that occur under Your Account;
  5. Notify Billvoice immediately of any unauthorized use of Your Account or any other breach of security;
  6. Not share Your Account credentials with any third party without Our prior written consent.

2.3 KYC and Verification

Billvoice may, at its sole discretion or as required by Applicable Law, require You to complete Know Your Customer (KYC) verification processes, which may include:

  1. Submission of identity documents (PAN Card, Aadhaar Card, Passport, Voter ID);
  2. Business registration documents (Certificate of Incorporation, Partnership Deed, GST Certificate);
  3. Address verification documents;
  4. Bank account verification;
  5. Director/Partner/Proprietor identification;
  6. Any other documents as may be required under RBI guidelines or Applicable Law.

Failure to complete KYC verification may result in restricted access to certain features of the Platform or suspension of Your Account.

3. Description of Services

3.1 Core Services

Subject to these Terms and payment of applicable Fees, Billvoice grants You a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the following Services during the Subscription Term:

  1. Invoice Generation and Management: Create, customize, send, and manage professional invoices compliant with GST requirements, including tax invoices, bills of supply, debit notes, credit notes, and receipt vouchers;
  2. Contract Management: Create, store, manage, and execute service contracts, engagement letters, and other business agreements;
  3. Payment Tracking and Reconciliation: Track payments received, outstanding dues, and automatically reconcile with bank statements;
  4. GST Compliance: Automated GST calculation (CGST, SGST, IGST, Cess), HSN/SAC code management, sequential invoice numbering, and GST return data preparation;
  5. TDS Management: TDS applicability detection, calculation, tracking of TDS deducted by clients, and Form 16A request management;
  6. AI-Powered Features: Voice-to-invoice conversion, payment prediction, underbilling detection, smart payment reminders, and intelligent suggestions;
  7. Neo-Banking Integration: Integration with banking partners for current account management, automated payment collection, and fund transfers (subject to partner terms);
  8. Reporting and Analytics: Business insights, revenue analytics, client analysis, and customizable reports;
  9. Export and Integration: Data export in multiple formats, integration with accounting software (Zoho Books, Tally), and API access for custom integrations.

3.2 Subscription Plans

The Services are offered under the following Subscription Plans, each with specific features and limitations as detailed on the Website:

  1. Operations Plan (Free/₹0): Limited to five (5) invoices per month, basic features, Billvoice watermark on invoices, community support;
  2. Automation Plan (₹999/month): Unlimited invoices, full AI features, neo-banking integration, no watermark, email support;
  3. Compliance Plan (₹3,999/month): All Automation features plus team collaboration (up to 5 members), workflow automation, multi-entity support, priority support;
  4. Strategy Plan (₹9,999+/month): All Compliance features plus unlimited team members, single sign-on (SSO), dedicated account manager, custom SLA, on-premise deployment options.

Billvoice reserves the right to modify, add, or remove features from any Subscription Plan upon reasonable notice to affected Users.

3.3 Service Availability

Billvoice shall use commercially reasonable efforts to maintain Platform availability of at least 95.9% during each calendar month, excluding scheduled maintenance windows, Force Majeure Events, and circumstances beyond Our reasonable control. Scheduled maintenance shall be notified at least 48 hours in advance where practicable.

3.4 Service Modifications

Billvoice reserves the right to modify, suspend, or discontinue any part of the Services at any time. We will provide reasonable advance notice of any material modifications that adversely affect Your use of the Services, except where immediate modification is required for security, legal compliance, or operational reasons.

4. Fees, Payment, and Taxes

4.1 Subscription Fees

You agree to pay all Fees associated with Your selected Subscription Plan. All Fees are:

  1. Stated in Indian Rupees (INR) unless otherwise specified;
  2. Due in advance for the Subscription Term (monthly or annual, as selected);
  3. Non-refundable except as expressly provided in these Terms;
  4. Subject to change upon thirty (30) days' prior written notice, with changes effective from the next renewal period.

4.2 Payment Methods

Payments may be made through the following methods:

  1. Credit/Debit Cards (Visa, MasterCard, RuPay);
  2. Net Banking;
  3. Unified Payments Interface (UPI);
  4. Digital Wallets (as supported);
  5. Bank Transfer/NEFT/RTGS (for Strategy plan customers);
  6. Auto-debit/Standing Instructions (where enabled).

4.3 Taxes

All Fees are exclusive of applicable taxes. You are responsible for payment of:

  1. GST at the applicable rate (currently 18% for software services under SAC 998314);
  2. Any other taxes, duties, or levies imposed by governmental authorities;
  3. Withholding taxes, if applicable, provided that You furnish appropriate documentation and gross-up payments to ensure Billvoice receives the full amount of Fees.

Billvoice will provide GST-compliant tax invoices for all subscription payments. If You are required to deduct TDS, You shall provide valid TDS certificates within the prescribed timelines.

4.4 Auto-Renewal

Unless You cancel Your subscription before the end of the current Subscription Term, Your subscription will automatically renew for successive periods of the same duration at the then-current Fees. You authorize Billvoice to charge Your payment method on file for renewal Fees.

4.5 Late Payment

If any payment is not received by the due date:

  1. Billvoice may charge interest at the rate of 1.5% per month (18% per annum) or the maximum rate permitted by law, whichever is lower, on outstanding amounts;
  2. Billvoice may suspend or restrict Your access to the Services until all outstanding amounts are paid;
  3. Billvoice may engage collection agencies or initiate legal proceedings for recovery;
  4. You shall be responsible for all costs of collection, including reasonable attorneys' fees.

4.6 Refunds

Refunds may be provided in the following circumstances:

  1. Within seven (7) days of initial subscription for first-time paid subscribers, subject to usage not exceeding 10 invoices;
  2. Pro-rata refund for annual subscriptions if Billvoice discontinues material Services without providing substantially similar functionality;
  3. As required by Applicable Law or regulatory direction.

To request a refund, contact support@billvoice.in with Your Account details and reason for refund request.

5. User Obligations and Acceptable Use

5.1 General Obligations

You agree to:

  1. Use the Services only for lawful business purposes and in compliance with these Terms and Applicable Law;
  2. Ensure all Customer Data and User Content is accurate, complete, and does not violate any third-party rights;
  3. Maintain accurate business records as required under Applicable Law;
  4. Comply with all GST, income tax, and other tax obligations related to Your business;
  5. Obtain all necessary consents from Your clients before storing their data on the Platform;
  6. Use reasonable security measures to protect Your Account and login credentials;
  7. Promptly report any security vulnerabilities or unauthorized access to Billvoice.

5.2 Prohibited Activities

You shall not, and shall not permit any third party to:

  1. Use the Services for any illegal, fraudulent, or unauthorized purpose;
  2. Generate false, misleading, or fraudulent invoices;
  3. Engage in tax evasion, money laundering, or financing of terrorism;
  4. Violate any GST, income tax, or other tax laws;
  5. Infringe or violate any Intellectual Property Rights of Billvoice or third parties;
  6. Attempt to gain unauthorized access to the Platform, other users' accounts, or connected systems;
  7. Interfere with or disrupt the integrity or performance of the Platform;
  8. Transmit any malware, viruses, or other malicious code;
  9. Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Platform;
  10. Scrape, crawl, or use automated means to access the Platform except through authorized APIs;
  11. Resell, sublicense, or provide access to the Services to third parties without authorization;
  12. Use the Platform to send spam, unsolicited communications, or harass others;
  13. Impersonate any person or entity or misrepresent Your affiliation;
  14. Circumvent, disable, or interfere with any security features of the Platform;
  15. Use the Services in violation of export control laws or sanctions.

5.3 Compliance with Laws

You are solely responsible for ensuring that Your use of the Services complies with all Applicable Laws, including but not limited to:

  1. GST registration, return filing, and tax payment obligations;
  2. Income tax obligations including advance tax, TDS compliance, and return filing;
  3. Professional tax, labor laws, and other state-specific regulations;
  4. Anti-money laundering and prevention of money laundering laws;
  5. Consumer protection laws;
  6. Data protection and privacy laws;
  7. Electronic commerce regulations.

6. Intellectual Property Rights

6.1 Billvoice IP

Billvoice retains all right, title, and interest in and to the Platform, Services, Documentation, and all underlying technology, including all Intellectual Property Rights therein. These Terms do not grant You any rights to use Billvoice's trademarks, logos, domain names, or other brand features without Our prior written consent.

6.2 License Grant

Subject to these Terms, Billvoice grants You a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform and Services solely for Your internal business purposes during the Subscription Term.

6.3 Customer Data

As between Billvoice and You, You retain all right, title, and interest in and to Your Customer Data. You grant Billvoice a non-exclusive, worldwide, royalty-free license to use, copy, store, transmit, display, and process Customer Data solely to:

  1. Provide and maintain the Services;
  2. Improve and enhance the Platform;
  3. Generate aggregated, anonymized insights and analytics;
  4. Comply with Applicable Law or respond to legal process.

6.4 Feedback

If You provide any feedback, suggestions, ideas, or recommendations regarding the Platform or Services (“Feedback”), You grant Billvoice a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into Our products and services without any obligation to You.

6.5 Restrictions

You shall not:

  1. Remove, alter, or obscure any proprietary notices on the Platform;
  2. Create derivative works based on the Platform;
  3. Copy or distribute the Platform except as expressly permitted;
  4. License, sell, resell, rent, lease, transfer, or otherwise commercially exploit the Platform.

7. Data Protection and Privacy

7.1 Privacy Policy

Your use of the Platform is subject to Our Privacy Policy, which is incorporated herein by reference. The Privacy Policy describes how We collect, use, store, and protect Your Personal Data and Customer Data.

7.2 Data Processing

To the extent Billvoice processes Personal Data on Your behalf, Billvoice shall:

  1. Process such data only in accordance with Your instructions and these Terms;
  2. Implement appropriate technical and organizational security measures;
  3. Assist You in responding to data subject requests;
  4. Notify You of any data breaches without undue delay;
  5. Delete or return Personal Data upon termination, subject to legal retention requirements.

7.3 Data Localization

All Customer Data and Personal Data shall be stored on servers located within India, unless You provide explicit consent for cross-border transfer in accordance with Applicable Law.

7.4 Your Responsibilities

You are responsible for:

  1. Obtaining all necessary consents from data subjects before uploading their data to the Platform;
  2. Ensuring the accuracy and legality of Customer Data;
  3. Implementing appropriate access controls for Your Account;
  4. Complying with Your obligations as a data fiduciary under the Digital Personal Data Protection Act, 2023.

8. Third-Party Services and Integrations

8.1 Third-Party Integrations

The Platform may integrate with or provide access to Third-Party Services, including but not limited to:

  1. Payment Gateways: Razorpay, Cashfree, PayU, Paytm;
  2. Banking Partners: RazorpayX, Cashfree Payouts;
  3. Accounting Software: Zoho Books, Tally, QuickBooks;
  4. Communication Services: WhatsApp Business API, Twilio, email services;
  5. Cloud Services: Amazon Web Services, Google Cloud Platform.

8.2 Third-Party Terms

Your use of Third-Party Services is subject to the terms, conditions, and privacy policies of such third parties. Billvoice is not responsible for the availability, functionality, security, or content of Third-Party Services. You acknowledge and agree that:

  1. Billvoice does not endorse or assume responsibility for Third-Party Services;
  2. Any data shared with Third-Party Services is subject to their privacy policies;
  3. Third-Party Services may be modified, suspended, or discontinued without notice;
  4. You assume all risks associated with using Third-Party Services.

8.3 Neo-Banking Services

Neo-Banking Services are provided through licensed banking partners and are subject to:

  1. RBI regulations governing banking and payment systems;
  2. The terms and conditions of the respective banking partner;
  3. KYC requirements as mandated by RBI;
  4. Transaction limits and other restrictions imposed by banking partners.

Billvoice acts solely as a technology service provider and is not a bank, NBFC, or payment system operator.

9. Representations, Warranties, and Disclaimers

9.1 Mutual Representations

Each party represents and warrants that:

  1. It has the legal power and authority to enter into these Terms;
  2. It will comply with all Applicable Laws in performing its obligations;
  3. These Terms constitute valid and binding obligations.

9.2 Billvoice Warranties

Billvoice represents and warrants that:

  1. The Services will perform materially in accordance with the Documentation;
  2. We will use commercially reasonable efforts to maintain the security of the Platform;
  3. We have the right to provide the Services as contemplated herein.

9.3 Your Representations

You represent and warrant that:

  1. All information provided during registration is accurate and complete;
  2. You have all necessary rights to the Customer Data;
  3. Your use of the Services will not violate any Applicable Law or third-party rights;
  4. You are not located in a sanctioned country or on any sanctions list.

9.4 Disclaimers

Except as expressly set forth herein, the Platform and Services are provided “as is” and “as available” without warranty of any kind. To the maximum extent permitted by applicable law, Billvoice disclaims all warranties, express, implied, or statutory, including but not limited to:

  1. Implied warranties of merchantability, fitness for a particular purpose, and non-infringement;
  2. Warranties arising from course of dealing or usage of trade;
  3. Warranties that the Services will be uninterrupted, error-free, or completely secure;
  4. Warranties regarding the accuracy or reliability of results obtained from the Services;
  5. Warranties regarding any third-party services or integrations.

9.5 No Professional Advice

The Services are not intended to provide and shall not be construed as providing legal, tax, accounting, financial, or other professional advice. You should consult qualified professionals for advice specific to Your situation. Billvoice is not a chartered accountant firm, law firm, or tax consultancy.

10. Limitation of Liability

10.1 Exclusion of Damages

To the maximum extent permitted by applicable law, in no event shall Billvoice, its directors, officers, employees, agents, or affiliates be liable for any:

  1. Indirect, incidental, special, consequential, or punitive damages;
  2. Loss of profits, revenue, business, goodwill, or anticipated savings;
  3. Loss of data or data corruption;
  4. Cost of procurement of substitute goods or services;
  5. Damages arising from Your use of or inability to use the Services;
  6. Damages arising from unauthorized access to Your account or data;
  7. Damages arising from third-party services or integrations;

Whether based on warranty, contract, tort (including negligence), strict liability, or any other legal theory, even if Billvoice has been advised of the possibility of such damages.

10.2 Cap on Liability

To the maximum extent permitted by applicable law, Billvoice's total aggregate liability for all claims arising out of or relating to these Terms or the Services shall not exceed the greater of: (a) the total fees paid by You to Billvoice during the twelve (12) months immediately preceding the claim; or (b) ten thousand Indian Rupees (INR 10,000).

10.3 Essential Purpose

The limitations set forth in this Section 10 shall apply even if any limited remedy fails of its essential purpose. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to You.

10.4 Exceptions

Nothing in these Terms shall limit or exclude liability for:

  1. Fraud or fraudulent misrepresentation;
  2. Death or personal injury caused by negligence;
  3. Any other liability that cannot be excluded by Applicable Law.

11. Indemnification

11.1 Your Indemnification

You agree to indemnify, defend, and hold harmless Billvoice, its directors, officers, employees, agents, affiliates, successors, and assigns from and against any and all losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  1. Your breach of these Terms or any representation or warranty herein;
  2. Your violation of any Applicable Law;
  3. Your Customer Data or User Content;
  4. Your infringement or violation of any third-party rights;
  5. Any dispute between You and Your clients or third parties;
  6. Your negligence, willful misconduct, or fraud;
  7. Any tax liabilities, penalties, or interest arising from Your non-compliance.

11.2 Billvoice Indemnification

Billvoice agrees to indemnify, defend, and hold harmless You from and against any third-party claims that the Platform, as provided by Billvoice, infringes such third party's Intellectual Property Rights, provided that You:

  1. Promptly notify Billvoice in writing of such claim;
  2. Grant Billvoice sole control of the defense and settlement;
  3. Cooperate with Billvoice in the defense of such claim.

Billvoice shall have no liability for claims arising from: (i) modifications made by You; (ii) combination with non-Billvoice products; (iii) Your continued use after notice of infringement; or (iv) Your Customer Data.

11.3 Indemnification Procedure

The indemnifying party shall:

  1. Promptly assume the defense of any claim upon receiving notice;
  2. Keep the indemnified party reasonably informed of the progress of the claim;
  3. Not settle any claim without the prior written consent of the indemnified party if such settlement would impose any obligation or liability on the indemnified party.

12. Term and Termination

12.1 Term

These Terms shall commence on the Effective Date and shall continue until terminated in accordance with this Section 12. Your Subscription Term shall be as specified in Your Subscription Plan or Order Form and shall automatically renew unless terminated.

12.2 Termination for Convenience

Either party may terminate these Terms:

  1. Upon thirty (30) days' prior written notice for monthly subscriptions;
  2. Upon sixty (60) days' prior written notice for annual subscriptions;
  3. You may cancel Your subscription at any time through the Platform settings, effective at the end of the current billing period.

12.3 Termination for Cause

Either party may terminate these Terms immediately upon written notice if:

  1. The other party materially breaches these Terms and fails to cure such breach within fifteen (15) days of receiving written notice;
  2. The other party becomes insolvent, files for bankruptcy, or makes an assignment for the benefit of creditors;
  3. The other party ceases to operate in the ordinary course of business.

12.4 Termination by Billvoice

Billvoice may suspend or terminate Your access to the Services immediately without notice if:

  1. You fail to pay any Fees when due;
  2. You breach Section 5.2 (Prohibited Activities);
  3. Your use of the Services poses a security risk or may harm other users;
  4. Required by Applicable Law or government order;
  5. You engage in fraudulent or illegal activities.

12.5 Effect of Termination

Upon termination or expiration of these Terms:

  1. Your right to access and use the Services shall immediately cease;
  2. You shall pay all outstanding Fees within fifteen (15) days;
  3. Billvoice shall provide You the ability to export Your Customer Data for a period of thirty (30) days following termination;
  4. After the export period, Billvoice may delete Your Customer Data, except as required by Applicable Law;
  5. Sections that by their nature should survive termination shall survive, including Sections 1, 6, 7, 9.4, 9.5, 10, 11, 13, 14, and 15.

12.6 Data Retention

Notwithstanding the foregoing, Billvoice may retain certain data as required by:

  1. GST laws requiring retention of tax invoices for a minimum of six (6) years from the due date of furnishing the annual return;
  2. Income tax laws requiring retention of records for a minimum of seven (7) years from the end of the relevant assessment year;
  3. Other Applicable Laws requiring data retention.

13. Dispute Resolution and Governing Law

13.1 Governing Law

These Terms and any dispute arising out of or in connection with these Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

13.2 Informal Resolution

Before initiating any formal dispute resolution proceedings, the parties agree to attempt to resolve any dispute informally. The aggrieved party shall send a written notice describing the dispute and proposed resolution. The parties shall engage in good faith negotiations for a period of thirty (30) days from receipt of such notice.

13.3 Arbitration

If the dispute is not resolved through informal negotiations, it shall be finally settled by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996, as amended. The arbitration shall be:

  1. Conducted by a sole arbitrator mutually appointed by the parties, or in the absence of mutual agreement, appointed in accordance with the Act;
  2. Held in Mumbai, Maharashtra, India, or such other location as mutually agreed;
  3. Conducted in English;
  4. Kept confidential by both parties.

The arbitrator's award shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

13.4 Exceptions

Notwithstanding the arbitration agreement, either party may seek:

  1. Injunctive or other equitable relief in a court of competent jurisdiction to protect its Intellectual Property Rights;
  2. Recovery of undisputed amounts owed through summary proceedings.

13.5 Jurisdiction

Subject to the arbitration provisions above, the courts at Mumbai, Maharashtra, India shall have exclusive jurisdiction over any disputes arising out of or relating to these Terms.

13.6 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

14. General Provisions

14.1 Entire Agreement

These Terms, together with the Privacy Policy, Order Form (if any), and any other documents incorporated by reference, constitute the entire agreement between You and Billvoice regarding the subject matter hereof and supersede all prior or contemporaneous understandings, agreements, negotiations, representations, and warranties, both written and oral.

14.2 Amendment

Billvoice reserves the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Website with a new “Last Updated” date, and where appropriate, by email notification. Your continued use of the Services after the effective date of any modification constitutes acceptance of the modified Terms.

14.3 Waiver

No waiver of any term or condition of these Terms shall be valid unless in writing and signed by both parties. The failure of either party to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

14.4 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving the intent of the parties, and the remaining provisions shall continue in full force and effect.

14.5 Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without the prior written consent of Billvoice. Billvoice may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of all or substantially all of its assets. Subject to the foregoing, these Terms shall be binding upon and inure to the benefit of the parties and their permitted successors and assigns.

14.6 Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations under these Terms to the extent caused by a Force Majeure Event, provided that the affected party promptly notifies the other party and uses reasonable efforts to mitigate the effects of the Force Majeure Event.

14.7 Independent Contractors

The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between the parties.

14.8 Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights except as expressly provided herein.

14.9 Notices

All notices under these Terms shall be in writing and shall be deemed given:

  1. When delivered personally;
  2. When sent by confirmed email to the addresses on record;
  3. Three (3) days after being sent by registered mail with return receipt requested;
  4. One (1) day after being sent by recognized overnight courier.

Notices to Billvoice shall be sent to: support@billvoice.in or the registered office address.

14.10 Language

These Terms are drafted in English. If these Terms are translated into any other language, the English version shall prevail in case of any conflict or inconsistency.

The GST calculations, TDS computations, HSN/SAC code suggestions, and other tax-related features provided by the Platform are for informational and convenience purposes only. They are based on the information You provide and the rules programmed into Our system. These features:

  1. Do not constitute professional tax advice or opinion;
  2. May not account for all specific circumstances of Your business;
  3. May not reflect the latest amendments to tax laws;
  4. Should be verified by a qualified Chartered Accountant or tax professional;
